Marketplace Roadmap is operated by Pony Car Publishing LLC. The terms “we,” “us” and “our” refer to Pony Car Publishing LLC, operating under the Marketplace Roadmap brand.

Marketplace Roadmap operates this store and website, including all related information, content, features, tools, products and services, to provide customers with a curated shopping experience (collectively, the “Services”). Marketplace Roadmap is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (collectively, these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, warranty disclaimers and limitations of liability.

SECTION 1 – ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province or other jurisdiction of residence. You also represent that you have given any consent legally required to allow your minor dependents to use the Services on devices that you own, purchase or manage.

To use the Services, including browsing our store or purchasing products or services, you may be asked to provide information such as your email address and billing, payment or shipping information. You represent and warrant that all information you provide is correct, current and complete and that you have all rights necessary to provide that information.

You are solely responsible for maintaining the security of your account credentials and for activity conducted through your account. You may not transfer, sell, assign or license your account to another person.

SECTION 2 – OUR PRODUCTS AND SERVICES

We have made reasonable efforts to represent our products and services accurately. However, colors, appearance or formatting may differ depending upon the device and settings used to access the store.

We do not warrant that the appearance or quality of a product or service will meet every customer’s expectations or appear exactly as depicted in our store.

Product and service descriptions may be changed at any time without notice. We reserve the right to discontinue a product or service and to limit the products or services offered to any person, geographic region or jurisdiction, subject to applicable law.

SECTION 2A – AUTOMOTIVE INFORMATION AND CUSTOMER RESPONSIBILITY

Our products, services, coaching, templates, checklists and other content are provided for educational and informational purposes only.

Marketplace Roadmap does not act as an automotive dealer, broker, mechanic, vehicle inspector, appraiser, attorney, financial advisor, insurance advisor or agent for any buyer, seller or marketplace.

Our information is not a substitute for an independent pre-purchase inspection performed by a qualified professional or for independently verifying a vehicle’s identity, ownership, title, lien status, history, mileage, recalls, condition, safety, price and legal eligibility for purchase or registration.

Vehicle condition, seller representations, listings, prices, availability and applicable laws may change or may be inaccurate. You are solely responsible for evaluating vehicles and sellers, conducting appropriate due diligence and deciding whether and on what terms to complete a transaction.

We do not guarantee that you will locate or purchase a vehicle, negotiate a particular price or receive satisfactory performance from any vehicle.

SECTION 2B – DIGITAL PRODUCTS, COACHING AND LICENSE

Digital products are delivered electronically using the email address or customer account associated with the order. You are responsible for providing an accurate email address and maintaining the equipment, software and internet access reasonably necessary to receive and use the product.

Subject to these Terms and payment of any applicable price, we grant you a limited, revocable, non-exclusive and non-transferable license to download, print and use purchased materials for your personal vehicle-shopping purposes.

You may use our message templates to communicate with sellers on your own behalf. You may not share, publish, upload, reproduce for others, resell, sublicense or commercially distribute our materials.

Coaching and consulting provide personalized educational guidance based on information reasonably available at the time. They do not create a fiduciary, agency, brokerage or other professional-client relationship and do not guarantee any particular vehicle, transaction, savings or outcome.

Scheduling, cancellations, rescheduling and refunds are governed by the applicable product description and our Refund Policy.

SECTION 3 – ORDERS

When you place an order, you are making an offer to purchase. Marketplace Roadmap may accept or decline an order in its discretion, subject to applicable law. Your order is not accepted until Marketplace Roadmap confirms acceptance.

Where payment is required, we must receive and process your payment before the order is accepted. Please review your order carefully before submitting it because we may be unable to accommodate a cancellation after an order has been accepted or a digital product has been delivered.

If we decline, change or cancel an order, we will attempt to notify you using the email address, billing address or telephone number provided with the order.

You represent and warrant that purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions may change without notice. The price charged will be the price in effect when the order is placed, as stated in the order confirmation.

Unless expressly stated otherwise, posted prices do not include applicable taxes, shipping, handling, customs or import charges.

We may offer promotions governed by terms separate from these Terms. If separate promotional terms conflict with these Terms regarding that promotion, the promotional terms will control.

You agree to provide current, complete and accurate purchase, payment and account information. You agree to update information as reasonably necessary so that we can complete transactions and contact you.

You represent and warrant that:

  1. Payment information you provide is true, correct and complete.

  2. You are authorized to use the selected payment method.

  3. Charges incurred by you will be honored by the payment provider.

  4. You will pay the posted price and all applicable taxes, shipping or other properly disclosed charges.

SECTION 5 – DELIVERY AND SHIPPING

Digital products are delivered electronically, and coaching services are delivered as described on the applicable product page. Neither requires physical shipping.

For any physical products that we may offer, fulfillment and delivery times are estimates unless expressly identified as guaranteed. We are not responsible for delays caused by carriers, customs processing or circumstances outside our reasonable control.

Risk of loss for physical products passes only as provided by applicable law. Additional terms concerning physical-product fulfillment, returns and exchanges may be stated in our Shipping Policy and Refund Policy.

SECTION 6 – INTELLECTUAL PROPERTY

The Services—including trademarks, brands, text, displays, images, graphics, product reviews, videos, audio and the design, selection and arrangement of those materials—are owned by Marketplace Roadmap, Pony Car Publishing LLC, their licensors or other respective owners and are protected by United States and foreign intellectual-property laws.

Except for the limited license expressly granted in Section 2B, these Terms permit you to use the Services only for personal, non-commercial purposes.

Without prior written permission, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit material from the Services, except as allowed by these Terms or applicable law.

Nothing in these Terms grants you any license or other rights under a patent, trademark, copyright or other intellectual-property right belonging to Pony Car Publishing LLC, Marketplace Roadmap, Shopify or any third party, except for the limited rights expressly granted herein.

Unauthorized use may violate federal or state intellectual-property laws. All rights not expressly granted are reserved.

Marketplace Roadmap’s names, logos, product names, service names, designs and slogans are trademarks of Pony Car Publishing LLC or its licensors. You may not use them without prior written permission.

Shopify’s names, logos, product names, service names, designs and slogans are trademarks of Shopify. Other names, logos, products, services, designs and slogans appearing through the Services are the property of their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may provide access to tools offered by third parties that we do not monitor or control.

Access to such tools is provided “as is” and “as available,” without warranties, representations, conditions or endorsement. To the fullest extent permitted by law, we are not liable for claims arising from your use of optional third-party tools.

Your use of optional tools is at your discretion. You should review and understand the third party’s applicable terms and policies before using them.

New tools, resources and features offered through the Services will also be considered part of the Services and subject to these Terms.

SECTION 8 – THIRD-PARTY LINKS

The Services may contain material, hyperlinks or embedded functionality provided or operated by third parties.

We are not responsible for evaluating the content, accuracy, security or practices of third-party materials or websites. If you leave the Services to access third-party material or websites, you do so at your own risk.

To the fullest extent permitted by law, we are not liable for harm or damages connected with your access to or use of third-party websites or your purchase or use of third-party products, services, resources or content.

Review the third party’s policies and practices before entering into a transaction. Complaints and questions concerning third-party products or services should be directed to the applicable third party.

SECTION 8A – THIRD-PARTY MARKETPLACES, LISTINGS AND TRADEMARKS

Marketplace Roadmap is an independent business and is not sponsored by, endorsed by, affiliated with or administered by Meta Platforms, Inc., Facebook, Facebook Marketplace or any other vehicle-listing platform, marketplace, manufacturer, dealer or seller unless expressly stated otherwise.

Third-party names and trademarks belong to their respective owners and are used only for identification or educational commentary.

We do not control third-party platforms, listings, sellers or transactions and are not responsible for their availability, accuracy, conduct, policies or performance.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Marketplace Roadmap is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through our store are made directly with Pony Car Publishing LLC, operating under the Marketplace Roadmap brand.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of a sale between you and Marketplace Roadmap, including any injury, damage or loss resulting from purchased products or services.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages and liabilities arising from or related to purchases and transactions with Marketplace Roadmap.

SECTION 10 – PRIVACY POLICY

Because the Services are hosted by Shopify, Shopify collects and processes certain personal information concerning access to and use of the Services. By using the Services, you acknowledge that you have been provided access to these privacy policies.

SECTION 11 – FEEDBACK

If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable and royalty-free license to use, reproduce, modify, publish, distribute and display that Feedback in any medium for lawful business purposes, including operating, evaluating, improving and promoting the Services.

You represent and warrant that:

  1. You own or possess all rights necessary to provide the Feedback.

  2. You have disclosed compensation or incentives received in connection with the Feedback.

  3. The Feedback complies with these Terms and applicable law.

We are not obligated to maintain Feedback in confidence, pay compensation for it or respond to it.

We may monitor, edit or remove Feedback that we reasonably determine is unlawful, offensive, threatening, defamatory, obscene, objectionable or violative of another party’s rights or these Terms.

Your Feedback must not violate another party’s copyright, trademark, privacy, publicity or other rights. It must not contain unlawful, abusive or obscene material, viruses or malware.

You may not use a false email address, impersonate another person or mislead us or others about the origin of Feedback. You are responsible for the Feedback you provide and its accuracy.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, delivery times or availability.

We may correct errors, inaccuracies or omissions and change or update information. Subject to applicable law, we may also cancel an order if material information concerning that order was inaccurate, including after the order was submitted.

SECTION 13 – PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not use the Services, directly or indirectly:

  1. For an unlawful or malicious purpose.

  2. To violate any international, federal, state, provincial or local law or regulation.

  3. To infringe our intellectual-property rights or the rights of another party.

  4. To harass, abuse, threaten, defame, intimidate or harm another person.

  5. To transmit false or misleading information.

  6. To send material that does not comply with these Terms.

  7. To transmit unsolicited advertising, junk mail, chain letters, spam or similar solicitations.

  8. To impersonate another person or entity.

  9. To interfere with another person’s use of the Services.

  10. To engage in conduct that may harm Marketplace Roadmap, Pony Car Publishing LLC, Shopify, service providers or users of the Services or expose them to liability.

You also agree not to:

  1. Upload or transmit viruses, malware or other malicious code.

  2. Reproduce, duplicate, copy, extract, sell, resell or exploit any unauthorized portion of the Services.

  3. Collect or track another person’s personal information unlawfully.

  4. Spam, phish, pharm, pretext or engage in similar deceptive activity.

  5. Use robots, spiders, scraping tools, data-extraction tools, artificial-intelligence tools, automated processes or unauthorized manual methods to access or extract material from the Services.

  6. Interfere with or circumvent security, authorization, robot-exclusion or access-control measures.

We may suspend, disable or terminate access to the Services if we reasonably determine that you violated these Terms.

SECTION 14 – SOFTWARE AGENTS

This section applies if you use, enable or cause the deployment of a software agent to access, use or interact with the Services.

An “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity and can operate on or through a person’s device without direct supervision.

An Agent may not access, use or interact with the Services unless it identifies itself and complies with this Section. An Agent may not access or interact with the Services after we request that it stop.

We may use technical or other reasonable measures to limit whether and how Agents access, use or interact with the Services.

Agents must:

  1. Identify applicable HTTP or HTTPS requests as originating from an Agent and disclose the Agent’s name in the user-agent string using the format “Agent/[agent name].”

  2. Not conceal or misrepresent that access or interaction originates from an Agent.

  3. Not mimic human behavior to evade Agent restrictions.

  4. Not complete or circumvent CAPTCHAs or measures intended to distinguish computers from humans.

  5. Respond truthfully to requests seeking to determine whether an interaction originates from a human or computer.

  6. Not circumvent measures intended to block, limit, modify or control Agent access.

SECTION 15 – TERMINATION

We may terminate these Terms or your access to some or all of the Services in our discretion, subject to applicable law. You remain responsible for amounts properly due through the termination date.

Provisions concerning intellectual property, feedback, termination, warranty disclaimers, limitations of liability, indemnification, severability, waiver, the entire agreement, assignment, governing law, privacy and any other provisions that by their nature should survive will remain effective following termination.

SECTION 16 – DISCLAIMER OF WARRANTIES

Information presented on or through the Services is provided for general educational and informational purposes.

We do not warrant its accuracy, completeness, timeliness or usefulness. Reliance upon the information is at your own risk. To the fullest extent permitted by law, we disclaim liability arising from reliance placed upon such information by you, another visitor or any person informed of its contents.

EXCEPT AS EXPRESSLY STATED BY MARKETPLACE ROADMAP, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

WITHOUT LIMITING THE FOREGOING, MARKETPLACE ROADMAP DOES NOT OWN, LIST, INSPECT, APPRAISE, REPAIR, SELL, BROKER, FINANCE, INSURE OR WARRANT ANY VEHICLE DISCUSSED, LOCATED OR CONSIDERED THROUGH USE OF THE SERVICES. WE MAKE NO WARRANTY OR REPRESENTATION CONCERNING ANY VEHICLE’S IDENTITY, OWNERSHIP, TITLE, LIEN STATUS, HISTORY, MILEAGE, CONDITION, SAFETY, RELIABILITY, VALUE, AVAILABILITY, ROADWORTHINESS OR FITNESS FOR A PARTICULAR PURPOSE.

WE DO NOT WARRANT OR GUARANTEE THAT USE OF OUR PRODUCTS, SERVICES, COACHING, TEMPLATES OR INFORMATION WILL RESULT IN THE PURCHASE OF A VEHICLE, A PARTICULAR PURCHASE PRICE, SPECIFIC SAVINGS, A SUCCESSFUL NEGOTIATION, THE AVOIDANCE OF FRAUD OR MECHANICAL PROBLEMS, OR ANY OTHER PARTICULAR RESULT.

OUR CONTENT AND COACHING ARE EDUCATIONAL AND INFORMATIONAL ONLY AND ARE NOT A SUBSTITUTE FOR AN INDEPENDENT PRE-PURCHASE INSPECTION, TITLE AND LIEN VERIFICATION, VEHICLE-HISTORY RESEARCH, RECALL RESEARCH OR ADVICE FROM AN APPROPRIATELY QUALIFIED PROFESSIONAL.

SOME JURISDICTIONS LIMIT OR PROHIBIT CERTAIN WARRANTY DISCLAIMERS. THE ABOVE DISCLAIMERS APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

SECTION 17 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PONY CAR PUBLISHING LLC, MARKETPLACE ROADMAP, AND THEIR OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES.

THIS LIMITATION APPLIES TO CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, PRODUCTS OR CONTENT; ERRORS OR OMISSIONS IN CONTENT; INABILITY TO ACCESS THE SERVICES; OR PRODUCTS, SERVICES OR INFORMATION OBTAINED THROUGH THE SERVICES, WHETHER THE CLAIM IS BASED IN CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY OR ANOTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, MARKETPLACE ROADMAP SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, CLAIM OR EXPENSE ARISING FROM OR RELATED TO A VEHICLE, SELLER, LISTING, INSPECTION, NEGOTIATION OR VEHICLE TRANSACTION, INCLUDING REPAIR COSTS, TOWING OR TRANSPORTATION COSTS, TAXES OR FEES, DIMINISHED VALUE, LOSS OF USE, LOST OPPORTUNITIES, PROPERTY DAMAGE, PERSONAL INJURY OR OTHER LOSSES ASSOCIATED WITH THE SELECTION, PURCHASE, OWNERSHIP, OPERATION OR DISPOSITION OF A VEHICLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MARKETPLACE ROADMAP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT, SERVICE OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MARKETPLACE ROADMAP FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT EXCLUDE OR LIMIT LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, AND THEY DO NOT REDUCE ANY NON-WAIVABLE RIGHTS AVAILABLE UNDER APPLICABLE CONSUMER-PROTECTION LAW.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS OF LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 18 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Pony Car Publishing LLC, Marketplace Roadmap, Shopify, and their respective affiliates, partners, owners, members, managers, officers, directors, employees, agents, contractors, licensors and service providers from third-party losses, damages, liabilities and claims, including reasonable attorneys’ fees, arising from:

  1. Your material breach of these Terms or incorporated policies.

  2. Your violation of applicable law or a third party’s rights.

  3. Your unlawful or unauthorized access to or use of the Services.

We will provide reasonable notice of an indemnifiable claim. Failure to provide prompt notice will not relieve your obligations unless the delay materially prejudices you.

We may control the defense and settlement of a claim at your expense, including selecting counsel, but will not settle a claim requiring non-monetary obligations from you without your consent, which will not be unreasonably withheld. You agree to reasonably cooperate in the defense.

SECTION 19 – SEVERABILITY

If a provision of these Terms is determined to be unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, and any unenforceable portion will be severed.

That determination will not affect the validity or enforceability of the remaining provisions.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision does not waive that right or provision.

These Terms and the policies and operating rules posted through the Services constitute the entire agreement between you and us concerning the Services and supersede prior or contemporaneous agreements, communications and proposals, whether oral or written, concerning the same subject matter.

To the extent permitted by law, ambiguities will not be construed against a party solely because that party participated in drafting the provision.

SECTION 21 – ASSIGNMENT

You may not delegate, transfer or assign these Terms or your rights or obligations under them without our prior written consent. An attempted unauthorized assignment is void.

We may transfer or assign these Terms and our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets or other lawful business transaction, subject to applicable law.

SECTION 22 – GOVERNING LAW AND VENUE

These Terms and any separate agreements through which we provide Services are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Subject to applicable consumer-protection law, the parties consent to the jurisdiction of the state and federal courts serving Wayne County, Michigan.

Headings are provided for convenience and do not limit or otherwise affect these Terms.

SECTION 24 – CHANGES TO THESE TERMS

You may review the current version of these Terms on this page.

We may update or replace portions of these Terms by posting a revised version through the Services. We will provide any notice of material changes required by applicable law.

Changes will become effective on the date stated in the revised Terms or applicable notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, to the extent permitted by law.
